Feedback. Any suggestions or feedback you provide about the Services may be used by Praxis AI without restriction or obligation.
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential information does not include information that is publicly available, independently developed, or disclosed under compulsion of law.

TO THE FULLEST EXTENT PERMITTED BY LAW, PRAXIS AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU WILL NOT EXCEED THE FEES YOU PAID TO PRAXIS AI IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Praxis AI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney fees) arising out of: (i) your use of the Services; (ii) your violation of these Terms; (iii) your violation of any applicable law or third-party rights; or (iv) any content or data you provide to the Services.
Either party may terminate these Terms with 30 days' notice. Praxis AI may terminate immediately for material breach, non-payment, or violation of the Acceptable Use policy. Upon termination, your right to access the Services ceases. We will make your data available for export for 30 days post-termination, after which it will be deleted in accordance with our data retention policy.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising out of these Terms that cannot be resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association in Miami, Florida. Class action and jury trial waivers apply to the fullest extent permitted by law.
We may update these Terms from time to time. Material changes will be communicated by email or prominent website notice at least 14 days in advance. Continued use after the effective date constitutes acceptance.
